Software License Agreement (SLA)
This Software License Agreement (“Agreement”) is a legal agreement between you (“User”, “Licensee”) and DentalClinic Pro (“Company”, “Licensor”) governing your access to and use of the DentalClinic Pro software platform. By registering, accessing, or using the software, you agree to be bound by the terms of this Agreement.
1. Grant of License
DentalClinic Pro grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software solely for internal clinic management purposes, in accordance with your selected subscription plan.
2. License Restrictions
- You may not copy, modify, distribute, sell, or lease any part of the software.
- You may not reverse engineer, decompile, or attempt to extract source code.
- You may not allow unauthorized third parties to access the software.
- You may not use the software for unlawful or prohibited activities.
3. Ownership & Intellectual Property
The software, including all content, features, source code, designs, logos, and trademarks, is the exclusive property of DentalClinic Pro. This Agreement does not grant you any ownership rights in the software.
4. User Responsibilities
- Maintain the confidentiality of login credentials
- Ensure accuracy of data entered into the system
- Comply with applicable medical, data protection, and IT laws
- Obtain lawful patient consent before entering personal data
5. Subscription & Access
Access to the software is provided on a subscription basis. License validity depends on timely payment of applicable subscription fees. Failure to pay may result in suspension or termination of access.
6. Data & Privacy
Use of the software is subject to our Privacy Policy, which complies with the Digital Personal Data Protection Act, 2023 (India). Users remain the owners of their data, while DentalClinic Pro acts as a technology service provider.
7. Service Availability
The software is provided on an “as-is” and “as-available” basis. While we strive to maintain high availability, uninterrupted or error-free operation is not guaranteed.
8. Termination
DentalClinic Pro may suspend or terminate this license if you violate this Agreement, misuse the software, or fail to comply with payment obligations. Upon termination, your right to use the software will immediately cease.
9. Limitation of Liability
To the maximum extent permitted by law, DentalClinic Pro shall not be liable for any indirect, incidental, consequential, or special damages arising from the use or inability to use the software.
10. Indemnification
You agree to indemnify and hold harmless DentalClinic Pro from any claims, damages, or liabilities arising from your misuse of the software or violation of this Agreement.
11. Modifications to Agreement
DentalClinic Pro reserves the right to modify this Software License Agreement at any time. Continued use of the software after updates constitutes acceptance of the revised terms.
12. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of Indian courts.
